Welcome to Geminize IO. These Terms of Use ("Terms") govern your access to and use of the Geminize IO Relay Hub and any other Geminize IO hardware products (collectively, the "Hardware"), our mobile applications ("Software"), our website, and all related services (collectively, the "Services") provided by Geminize IO ("we," "us," or "our").
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.
1. Agreement to Terms
By creating an account, installing the Hardware, or using the Software, you agree that you have read, understood, and agree to be bound by these Terms.
2. User Accounts
To use certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain the security of your password and accept all risks of unauthorized access to your account.
- Promptly notify us if you discover or otherwise suspect any security breaches related to the Services.
3. Use of Hardware and Software
a) License Grant:
We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software solely in connection with the Hardware for your personal, non-commercial use.
b) Permitted Use:
You agree to use the Hardware and Software only for their intended purpose of controlling 12V automotive accessories. You are solely responsible for the proper and safe installation of the Hardware in your vehicle.
We strongly recommend professional installation by a qualified automotive technician.
c) Prohibited Activities:
You agree you will not:
- Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software.
- Modify, adapt, or create derivative works based on the Hardware or Software.
- Use the Services for any illegal or unauthorized purpose, or engage in, encourage, or promote any activity that violates these Terms.
- Attempt to bypass any security measures we have in place.
Use the Hardware to control any safety-critical systems of your vehicle (e.g., brakes, steering, airbags). The Hardware is intended for auxiliary accessories only.
4. Intellectual Property
All intellectual property rights in the Services, including the Hardware design, Software, logos, and content, are the exclusive property of Geminize IO and its licensors. Nothing in these Terms grants you any right to use the Geminize IO name or any of our trademarks, logos, or other brand features.
5. Regulatory Compliance
The Hardware contains a radio transmitter that is subject to government regulation. The Hardware has been certified to comply with the regulations of the U.S. Federal Communications Commission (FCC) and may be certified in other regions.
You agree to use the Hardware in compliance with all applicable laws and regulations of your location. Any changes or modifications to the Hardware not expressly approved by Geminize IO could void your authority to operate the equipment.

6. Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
7. Limitation of Liability
THIS IS A CRITICAL SECTION. PLEASE READ CAREFULLY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GEMINIZE IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
- (B) ANY DAMAGE TO YOUR VEHICLE, CONNECTED ACCESSORIES, OR PROPERTY RESULTING FROM THE INSTALLATION OR USE OF THE HARDWARE. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGE FROM IMPROPER INSTALLATION, ELECTRICAL FAULTS, OR MISUSE;
- (C) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF GEMINIZE IO EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT.
8. Indemnification
You agree to indemnify, defend, and hold harmless Geminize IO and its officers, directors, employees, and agents from and against any and all claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Services, or (ii) your violation of these Terms.
9. Governing Law
These Terms shall be governed by the laws of the State of [Your State, e.g., California], without regard to its conflict of law provisions.
10. Changes to Terms or Services
We may modify these Terms at any time. If we make material changes, we will provide you with notice, such as by sending an email or displaying a notice within our Software. Your continued use of the Services after any such change constitutes your acceptance of the new Terms.
